Corporate / Commercial Solicitor-Ashford-Kent

Introduction.

Our client is one of the leading Kent law firms with a major influence in East Kent as a full service legal 500 Practice. They have a vacancy for an experienced Corporate/ Commercial lawyer to join an expanding team.

The Role.

You will be responsible for supporting the Head of Department in dealing with commercial and company transactions and advising other fee earners in the firm on the commercial and corporate implications of matters they undertake.

KEY JOB RESPONSIBILITIES/DUTIES:

Preparing and advising on a range of commercial agreements including Distribution Agreements, Agency Agreements, Terms and Conditions of Trading, Franchise Agreements, as well as bespoke commercial agreements.

Advising on the formation, variation and dissolution of partnerships.

Acting on the acquisition and sale of business assets including business assets sold as part of a transfer of a business as a going concern.

Acting on the purchase and sale of private limited companies through the sale of their share capital.
Working as a member of a team with the Head of the Department and its trainees on larger commercial transactions including management buy-outs and investor buy-outs.

Advising on all areas of company law relevant to private limited companies.

Assisting with the development of the Department with local business in the community, including local referrers.

Attending as the Department's representative at various public events including speaking at seminars organised by the firm.

Generally supervising the work of the trainees within the Department from time to time.

The firm is a major regional practice with three offices in Kent and their clients are predominantly listed and unlisted companies including subsidiaries of overseas multinationals, public and third sector organisations, financial institutions, company directors and shareholders and owner managed businesses.
